Terms of Service

Delivre Ltd ("Delivre", "we", "us") operates a delivery management platform, a courier service, and a partner program. These Terms of Service ("Terms") are the agreement between you and Delivre whenever you use our website, apps, dashboard, API, or any of our services.
By signing up or using Delivre, you agree to these Terms. If you're using Delivre on behalf of a company, you're confirming you have the authority to bind that company. If you don't agree, please don't use the service.
1. What Delivre provides
We offer three things, and different Terms apply depending on which you use:
- The Platform (SaaS) — A web dashboard and mobile rider app that lets businesses manage their own delivery fleet. You bring the riders, we provide the dispatch, tracking, notifications, and analytics tools.
- Courier Service — An on-demand delivery service for individuals in supported areas. You request a delivery, we assign a rider from our network and handle the rest.
- Partner Program — For businesses that don't have their own riders. We provide rider coverage so your customers get deliveries without you managing a fleet.
We're always building and improving, so features may change over time. We'll give reasonable notice before removing anything that would meaningfully affect your workflow.
2. Accounts and access
To use most of Delivre, you need an account. Here's what we expect:
- Provide accurate information when signing up. If your company name, email, or phone changes, update your account.
- Keep your login credentials private. You're responsible for everything that happens under your account. If you suspect unauthorized access, let us know immediately at hello@delivre.co.
- Staff and rider accounts you create under your organization are your responsibility. You decide who gets access and at what level.
- You must be at least 18 years old to create an account.
We reserve the right to suspend or close accounts that violate these Terms, pose a security risk, or have been inactive for more than 12 consecutive months.
3. Acceptable use
We keep this simple. Use Delivre for legitimate delivery management. Don't use it to:
- Transport anything illegal, hazardous, or restricted under Kenyan law (or the law of wherever you're operating).
- Abuse, harass, or threaten riders, recipients, support staff, or other users.
- Attempt to reverse-engineer, scrape, or copy our software, algorithms, or data.
- Interfere with the platform's infrastructure — no DDoS attacks, no injecting malicious code, no stress-testing our servers without permission.
- Resell access to Delivre without written agreement from us.
- Misrepresent your identity, your business, or the contents of a delivery.
If we find a violation, we'll reach out first when possible. For serious or repeated offenses, we may suspend your account without prior notice.
4. Platform subscriptions and billing
This section applies to businesses subscribing to the Delivre platform (SaaS).
Plans and pricing
We offer a free tier and several paid plans. Each plan includes a set number of deliveries per month, staff accounts, and rider accounts. Going over your included deliveries incurs a per-delivery overage charge. Current pricing is published on our pricing page and may change — we'll give you at least 30 days' notice before any price increase takes effect on your account.
Billing cycle
Paid plans are billed either monthly or annually, depending on what you chose at signup. Annual plans are billed upfront for the full year. Overage charges are calculated at the end of each month and added to your next invoice.
Cancellation
You can cancel your subscription at any time from your dashboard. When you cancel mid-cycle, the remaining balance on your account is prorated and credited to your organization's Delivre wallet. This balance can be used for future services or overage charges. There are no cancellation fees.
Failed payments
If a payment fails, we'll retry a few times and notify you by email. If the payment issue isn't resolved within 14 days, we may downgrade your account to the free tier. Your data stays safe — you won't lose anything — but features beyond the free tier will be unavailable until billing is sorted out.
5. Courier service terms
This section applies when you use Delivre's courier service to send packages.
How it works
You request a delivery, provide pickup and drop-off details, and we assign a rider. Pricing is per delivery, based on distance, urgency, and package size. The price shown at booking is the price you pay — no surprise fees afterward.
What you can send
Documents, parcels, groceries, gifts, and general goods that a rider can safely carry. You must not send items that are illegal, perishable without appropriate packaging, excessively fragile without declaring it, or dangerous (weapons, flammable materials, chemicals). If in doubt, ask us before booking.
Loss and damage
We take care of every package, but things can occasionally go wrong. If a package is lost or damaged while in our possession, we'll reimburse you up to the declared value of the item, capped at KES 5,000 per delivery. This is why we ask you to declare the value when booking. Items shipped without a declared value are covered up to KES 1,000.
We are not liable for delays caused by traffic, weather, or circumstances beyond our reasonable control, though we'll always communicate proactively when delays happen.
Cancellations
You can cancel a delivery for free before a rider is assigned. Once a rider is en route to the pickup location, a cancellation fee may apply to cover the rider's time and fuel.
6. Partner program terms
This section applies to businesses enrolled in our partner program.
- No long-term contracts. You can leave the partner program at any time. We believe in earning your business month to month.
- Billing. Depending on your tier, you pay per delivery or via weekly invoicing. Payment terms and rates are agreed when you onboard and confirmed in your partner agreement.
- Rider availability. We commit to providing riders during your operating hours in your coverage area. Rider availability may vary during peak periods or severe weather. We'll notify you of any expected disruptions.
- Your responsibilities. Make sure orders are packaged and ready for pickup. Provide accurate addresses and recipient details. Respond to rider queries promptly — it keeps deliveries moving.
7. API and integrations
If you use our REST API or webhooks, these additional terms apply:
- API access is provided as part of your subscription plan. Rate limits are applied per plan tier to keep things fair for everyone.
- Don't use the API in a way that degrades the service for other users. If we detect abusive call patterns, we'll throttle or block the offending keys and reach out to resolve it.
- API keys are confidential. Treat them like passwords. If a key is compromised, rotate it immediately from your dashboard.
- We version our API. When we make breaking changes, we'll announce them at least 60 days in advance and maintain the old version during the transition period.
8. Your data and content
You own your data. Delivery records, customer information, business details — that's yours. We don't claim any ownership over it.
You grant us a limited license to use your data solely to provide and improve the service — things like running your dispatches, generating your reports, and training our systems to work better. We won't sell your data or use it to compete with you.
If you close your account, you can export your data beforehand. After account closure, we retain data for up to 12 months (for billing, legal, or dispute resolution purposes) and then delete it. Our Privacy Policy has the full details on how we handle personal data.
9. Intellectual property
The Delivre name, logo, website, apps, dashboards, and underlying code are our intellectual property (or licensed to us). These Terms don't transfer any IP to you — you get a license to use the service, not ownership of it.
Feedback is welcome. If you suggest a feature or improvement and we build it, it becomes part of the platform for everyone — we won't owe you royalties or credit, though we'll always appreciate the input.
10. Liability
We'll say this plainly because legalese helps no one:
- Our total liability to you for any claim arising from these Terms or your use of Delivre is capped at the total fees you've paid us in the 12 months before the claim arose. If you're on the free tier, the cap is KES 5,000.
- We're not liable for indirect, incidental, or consequential damages — things like lost profits, lost business opportunities, or data loss beyond the data we directly manage. We know that sounds like a wide exclusion, and it is. It's standard for good reason: a delivery platform can't reasonably be held responsible for downstream business losses.
- Exceptions. Nothing in these Terms limits our liability for fraud, gross negligence, or anything that the law says we can't exclude.
11. Service availability
We work hard to keep Delivre up and running, but we don't guarantee 100% uptime. No one can. Servers need maintenance, bugs need fixing, and sometimes things break at 2 AM on a Sunday.
We aim for high availability and will notify you of planned maintenance in advance. If there's an unplanned outage, we'll communicate through our status channels and work to resolve it as fast as we can.
We won't be liable for losses caused by service interruptions, though we understand the frustration and will always try to make things right.
12. Dispute resolution
If there's a dispute between you and Delivre, here's how we handle it:
- Talk to us first. Most issues can be resolved with a conversation. Email hello@delivre.co and we'll work to sort it out within 14 days.
- Mediation. If we can't resolve it directly, either party may refer the dispute to mediation, with costs shared equally. The mediator will be agreed on by both parties or, failing agreement, appointed by the Chartered Institute of Arbitrators (Kenya branch).
- Courts. If mediation doesn't work, the dispute will be settled by the courts of Kenya, with Nairobi as the seat of jurisdiction.
This doesn't prevent you from seeking urgent injunctive relief from a court if the situation genuinely requires it.
13. Governing law
These Terms are governed by the laws of the Republic of Kenya. If you're using Delivre from outside Kenya, you're still agreeing to Kenyan jurisdiction for disputes arising from these Terms.
14. Changes to these Terms
We may update these Terms as Delivre grows and regulations evolve. When we do, we'll bump the "last updated" date at the top and give you notice — via email, an in-app banner, or both — at least 14 days before material changes take effect.
Continuing to use Delivre after changes take effect means you accept the updated Terms. If you disagree with a change, your recourse is to cancel your account before the effective date.
15. Miscellaneous
- Entire agreement. These Terms (together with your partner agreement if applicable, and our Privacy Policy) are the whole deal between you and Delivre. They replace any prior discussions or agreements.
- Severability. If a court finds any part of these Terms unenforceable, the rest still stands.
- No waiver. If we don't enforce a provision, it doesn't mean we've waived our right to enforce it later.
- Assignment. You can't transfer your account or these Terms to someone else without our written consent. We can assign our rights if Delivre is acquired or merged — but your Terms won't change as a result.
